Welcome to Midnight Press, a film noir tabletop role-playing game set in a reimagined 1940s San Francisco. These Terms & Conditions govern your use of the Midnight Press website, digital content, physical products, purchases, downloads, and related services.
By accessing our website, purchasing a Midnight Press product, downloading our digital content, or otherwise using our services, you agree to these Terms & Conditions. If you do not agree, please do not use our website or services.
1. About Midnight Press
Midnight Press is a tabletop role-playing game created and published by Midnight Press and its creators and collaborators.
The game includes original rules, written content, artwork, graphic design, characters, settings, scenarios, maps, game materials, and other creative works.
Midnight Press is designed to be played collaboratively. The stories created during gameplay may involve fictional characters, crimes, violence, corruption, mystery, and other themes associated with film noir.
2. Purchases and Orders
When you purchase a Midnight Press product through our website, store, crowdfunding campaign, or authorized retailer, you agree to provide accurate and complete information necessary to process your order.
Product descriptions, photographs, artwork, packaging, and other promotional materials are provided to give you an accurate representation of our products. Because some Midnight Press products are printed materials and handcrafted or independently produced components, minor differences in color, printing, paper, or appearance may occur.
We reserve the right to correct pricing, product descriptions, availability, or other errors on our website and to cancel or adjust an order affected by an obvious error.
3. Preorders and Crowdfunding
Some Midnight Press products may be offered through crowdfunding campaigns or preorder campaigns.
Crowdfunding pledges and preorder purchases are subject to the terms of the platform through which the transaction is made, including Kickstarter's applicable terms.
Estimated production and shipping dates are estimates and are not guaranteed delivery dates. Manufacturing, printing, fulfillment, shipping, supply-chain issues, or other circumstances may affect the final delivery schedule.
If you supported Midnight Press through a crowdfunding campaign, information provided during that campaign, including reward descriptions and campaign updates, may also apply to your pledge.
4. Shipping and Delivery
Customers are responsible for providing a complete and accurate shipping address.
We are not responsible for delays caused by incorrect or incomplete addresses, customs processing, postal delays, carrier issues, or circumstances outside our reasonable control.
International orders may be subject to customs duties, taxes, import fees, or other charges imposed by the destination country. Unless explicitly stated otherwise at checkout, these charges are the responsibility of the customer.
If a package is returned to us because of an incorrect address, refusal of delivery, failure to collect the package, or other circumstances attributable to the customer, additional shipping charges may apply before the order can be resent.
5. Digital Products and Downloads
Some Midnight Press products may include digital files, PDFs, downloadable materials, or other digital content.
Digital products are licensed to you for personal, non-commercial use. You may download and store your purchased files for your own use, subject to these Terms.
You may not:
Resell or redistribute purchased digital files.
Upload purchased files to public websites, file-sharing services, or repositories.
Share download links or access credentials with people who have not purchased or otherwise received the right to access the content.
Use Midnight Press digital content to create or distribute a competing commercial product.
Remove copyright notices or other ownership information.
Claim Midnight Press content as your own.
We may provide updated versions of digital products from time to time. Where appropriate, customers who purchased a product may receive access to updated files.
6. Personal Use of the Game
Purchasing Midnight Press gives you the right to use the game and its materials for personal tabletop play.
You may:
Play Midnight Press with friends, family, or your gaming group.
Make reasonable personal copies of character sheets and other materials intended to be reproduced for gameplay.
Take notes and create personal campaign materials.
Create original characters, stories, artwork, and other works inspired by your experience playing the game, provided that you do not reproduce or commercially exploit Midnight Press's protected content.
You may also run Midnight Press games for groups, clubs, conventions, and similar gatherings, provided that you do not reproduce or distribute the game's protected materials without permission.
7. Commercial Use
Unless we give you written permission, you may not commercially reproduce, distribute, sell, sublicense, or otherwise exploit Midnight Press's copyrighted materials.
This includes, but is not limited to:
Selling copies of the rulebook or digital files.
Selling or distributing scans or reproductions of the newspaper rulebook.
Publishing substantial portions of the rules or adventures online.
Creating commercial products substantially based on Midnight Press's protected expression.
Using Midnight Press artwork, logos, characters, maps, layouts, or other proprietary materials in commercial products.
Printing and selling copies of Midnight Press materials.
Operating a commercial service based on distributing or providing access to Midnight Press materials.

8. Actual Play, Streaming, and Content Creation
We encourage players to share their Midnight Press experiences.
You may stream, record, photograph, review, discuss, or otherwise create content about your Midnight Press games, including actual-play videos, podcasts, streams, reviews, and social media posts.
When doing so, please do not reproduce substantial portions of the rulebook, adventures, digital files, or other copyrighted materials in a way that substitutes for purchasing the game.
You may quote or display reasonable portions of the game for purposes such as commentary, criticism, reviews, or gameplay, subject to applicable copyright law.
Our trademarks, logos, artwork, and other branding remain the property of their respective owners and may not be used in a way that suggests an official partnership, sponsorship, or endorsement without permission.
9. Intellectual Property
All Midnight Press content, including but not limited to:
The Midnight Press name and logo
Game rules and written content
Setting and original lore
Characters and NPCs
Adventures and scenarios
Artwork and illustrations
Graphic design and layouts
Maps
Newspaper design
Promotional materials
Website content
Digital files
Original game terminology
is owned by Midnight Press, its creators, or the respective artists and rights holders, unless otherwise stated.
Purchasing a product does not transfer ownership of these intellectual property rights to you.
All rights not expressly granted by these Terms are reserved.
10. Fan Content
We love seeing what players create with Midnight Press.
Unless otherwise agreed in writing, you retain ownership of original creative work that you independently create, such as:
Original characters
Original artwork
Actual-play recordings
Reviews
Fan fiction
Campaign notes
Homebrew material
Original adventures
However, creating fan content does not give you ownership of Midnight Press intellectual property that appears within or is incorporated into that work.
Please do not present fan content as official Midnight Press material or imply that it is created, endorsed, or sponsored by Midnight Press unless we have expressly authorized you to do so.
11. Community and User Content
If you submit content to Midnight Press through our website, community spaces, social media, contests, surveys, or other channels, you are responsible for the content you submit.
You represent that you have the right to share the material and that doing so does not violate another person's rights.
By submitting content for public display, you grant Midnight Press permission to use, reproduce, display, and share that submission for purposes related to operating and promoting Midnight Press, unless otherwise agreed.
We will not claim ownership of your original creative work merely because you share it with us.
12. Community Conduct
Midnight Press is intended to be a welcoming game and community.
When participating in official Midnight Press community spaces, you agree not to:
Harass, threaten, or intimidate other community members.
Engage in hate speech or targeted discrimination.
Post illegal or malicious content.
Impersonate Midnight Press staff, creators, or other community members.
Spam or deliberately disrupt community spaces.
Share private or personal information about another person without permission.
Distribute unauthorized copies of Midnight Press materials.
Use official community spaces to facilitate fraud, scams, or other unlawful activity.
We reserve the right to remove content or restrict access to official community spaces when reasonably necessary to protect the community or our services.
13. Game Content and Table Safety
Midnight Press is a fictional tabletop role-playing game. Its stories may involve mature themes associated with the noir genre.
The people playing the game are responsible for deciding what themes are appropriate for their own table.
We encourage Game Masters and players to communicate about boundaries, expectations, and potentially sensitive subject matter before and during play.
Midnight Press does not require players to participate in content that makes them uncomfortable.
14. Website Use
You agree to use our website only for lawful purposes.
You may not attempt to:
Gain unauthorized access to our website, systems, or accounts.
Interfere with the operation or security of the website.
Introduce malicious software or harmful code.
Scrape or systematically copy substantial portions of our website or proprietary content without permission.
Use the website to violate applicable laws or the rights of others.
We may modify, suspend, or discontinue portions of the website or our services at any time.
15. Third-Party Services
Our website or products may contain links to or integrate with third-party services, including payment processors, crowdfunding platforms, retailers, social media platforms, shipping providers, or other services.
Third-party services operate under their own terms and privacy policies. Midnight Press is not responsible for the policies, availability, security, or practices of third-party services.
16. Refunds and Returns
Our refund and return policy may vary depending on the product, purchase method, and applicable law.
If you receive a damaged, defective, or incorrect physical product, please contact us as soon as reasonably possible with your order information and, where appropriate, photographs of the issue.
For digital products, refunds may be subject to whether the product has been downloaded or accessed and to applicable consumer protection laws.
Nothing in these Terms is intended to limit any rights you may have under mandatory consumer protection laws applicable to your purchase.
17. Product Availability
We cannot guarantee that every Midnight Press product, edition, accessory, or digital product will remain available indefinitely.
We may discontinue, replace, update, or modify products and product offerings at our discretion.
Where a product has already been purchased, discontinuation does not automatically terminate the rights granted to you under these Terms.
18. Disclaimer
Midnight Press is provided for entertainment purposes.
To the extent permitted by applicable law, Midnight Press and its creators make no guarantees that the website or services will always be available, uninterrupted, or error-free.
We do not guarantee that every product will meet an individual's subjective expectations, and we cannot guarantee uninterrupted access to third-party services.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Midnight Press and its creators will not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of our website, products, or services.
Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms limits liability for matters that cannot legally be limited or excluded.
